Credit Account Terms and Conditions
1. Definitions
In this document the following words shall have the following meanings:
1.1 “Buyer” means the organisation or person who buys Goods from the Seller;
1.2 “Goods” means the articles to be supplied to the Buyer by the Seller;
1.3 “Intellectual Property Rights” means all patents, registered and unregistered designs, copyright, trademarks, know-how and all other forms of intellectual property wherever in the world enforceable;
1.4 “List Price” means the list of prices of the Goods maintained by the Seller as amended from time to time.
1.5 “Seller” means Ooznest Limited, The Yard, Old Crown Lane, Brentwood, Essex, CM145TA.
1.6 “Credit Account” means an account with the Seller under which the Buyer can purchase Goods and pay at a later agreed date.
1.7 “Credit Check” means the process by which the Seller assesses the creditworthiness of the Buyer.
1.8 “Purchase Order” means the document issued by the Buyer to the Seller, indicating types, quantities, and agreed prices for products or services.
1.9 “Credit Limit” means the maximum amount of credit that the Seller will extend to the Buyer.
2. General
2.1 Notwithstanding anything to the contrary these Terms and Conditions contain the only Terms upon which Ooznest Limited will provide Goods via a 30 day credit account and shall not be varied unless expressly agreed in writing, signed by a Director of Ooznest Limited.
2.2 These Terms and Conditions should be applied in conjunction with the general Terms and Conditions displayed on the website, ooznest.co.uk.
3.Eligibility Criteria
3.1 Credit accounts issued by Ooznest Limited are subject to approval.
3.2 Credit accounts can only be issued to the following; UK Registered Limited Company, UK Registered Charity or UK Local Authority.
3.3 Credit account applications will be subject to a credit check performed by our partner CreditSafeUK using the information you provide, and trade references.
3.4 The results of the credit check and references will determine the success of your application and the credit limit offered. Based on the credit check result we reserve the right to decline credit.
3.5 Satisfaction of the criteria outlined in clause 3.1-3.4 does not guarantee the agreement of credit Terms. Ooznest Limited reserves the right to refuse credit for any reason deemed sufficient by the Seller.
3.6 The Seller retains the right to amend the credit account eligibility criteria outlined in clause 3.1-3.4 at any point.
4. Terms of Order
4.1 The Buyer must issue the Seller with a Purchase Order for all orders placed.
4.2 The Buyer must place a corresponding ‘Awaiting Purchase Order’ Quote on our website to place an order for credit. Once the PO is received, it will be linked with the online order and an invoice raised.
5. Terms of Payment
5.1 The Seller shall issue the Buyer with an invoice against the Purchase Order placed.
5.2 Once an invoice has been issued, the Buyer shall make payment within 30 days from the invoice date.
5.3 All credit accounts with Ooznest Limited are on 30-day payment Terms unless expressly agreed in writing, signed by a Director of Ooznest Limited.
5.4 If the Buyer’s credit account exceeds the credit limit or has any outstanding payments associated with it, no further orders shall be processed or dispatched until the balance has been cleared.
5.5 Any credit account orders which circumvent the account stoppage described in clause 4.4 will violate the credit terms agreed upon, and are subject to cancellation without notice.
5.6 Late payments and/or other issues may result in delay/cancellation of shipments and removal of credit facilities. If payment is not received within the stipulated period, an additional charge may be levied on the outstanding amount, and the Seller may take further action to recover the debt.
5.7 Invoices should be paid via Bank Transfer to the details provided on the invoice or via secure card link where requested.
6. Review
6.1 Credit account activity will be reviewed and the credit terms/ limit may be adjusted accordingly based on the trading history.
6.2 Credit accounts are issued on the understanding that the buyer has an ongoing interest in ordering from the seller, therefore if no orders are placed within a 12 month period the credit account will be reviewed and/or closed.
7. Cancellation
7.1 The Buyer retains the right to terminate the Buyer’s credit account payment Terms at any point, provided there is no outstanding balance. Any outstanding balance must be settled at point of cancellation. Ooznest Limited reserves the right to terminate credit Terms without notice.
8. Failure to make Payment
8.1 Failure to make payment within 30 days of an issued invoice may result in the collection of overdue funds, plus any associated charges and interest, by an external debt collection agency. Any defaults on payments may lead to legal action and may also affect the Buyer’s credit rating.
